# User Agreement

**Version:** 1 · **Effective from:** June 17, 2026

This User Agreement (hereinafter the "**Agreement**") governs the use of the web service **Spread Hunter**, available at `spreadhunter.app` (hereinafter the "**Service**").

The Service is operated by the **Spread Hunter team — the owner(s) and team of the Spread Hunter project** (hereinafter "**we**", "**us**", the "**Operator**"). Spread Hunter is a **standalone software tool**; no separate legal entity has been created, and the Operator provides the Service **"as is", at the user's own risk**, disclaiming liability to the maximum extent permitted by law (sections 12–13).

By registering, ticking the consent box at registration or at payment, or using the paid features of the Service, you (hereinafter the "**User**", "**you**") confirm that you have read, understood, and **unconditionally agree** to this Agreement, the [Privacy Policy](/spread-hunter-docs/english/privacy.md), the [Risk Disclosure](/spread-hunter-docs/english/risk.md), the [Refund Policy](/spread-hunter-docs/english/refunds.md), and the [AML & Sanctions Policy](/spread-hunter-docs/english/aml-sanctions.md). If you do not agree — do not use the Service.

## 1. Definitions

* **Operator** — the Spread Hunter team, the owner(s)/team of the Spread Hunter project, providing the Service. No separate legal entity has been created for now.
* **Service** — the Spread Hunter web application: the spread scanner, dashboard, charts, and the automated trading tool (the "Bot").
* **Bot** — a software module that, according to your settings and through your API keys, automatically opens/closes positions on cryptocurrency exchanges.
* **Exchange** — a third-party venue (Binance, Bybit, Gate, MEXC, Asterdex, Bitget, BingX, OKX, KuCoin, etc.) on which you hold your own account.
* **Subscription** — paid access to the "My Bots" and "P\&L" features.
* **API key** — an access key to your exchange account that you add to the Service for the execution of trades.
* **Grace period** — a grace window of **24 hours** after the expiry of the Subscription (view mode), after which the consequences under section 8.4 apply. The duration may change upon notice.

## 2. Description of the Service and regulatory status

2.1. Spread Hunter is a **technical tool** for self-directed cross-exchange price- spread trading (a long+short strategy between exchanges). The Service provides data, analytics, and a means of automating the execution of trades according to **your** settings.

2.2. **What the Service is NOT.** The Operator **is not** an exchange, broker, dealer, investment adviser, asset manager, fund, bank, or other financial institution, and is also **not a provider of services related to the circulation of virtual assets (VASP/CASP)** — it does not exchange, store, or transfer virtual assets on your behalf and does not provide payment services. The Service **does not store, accept, or control** your trading funds and does not manage your capital on your behalf.

2.3. **Regulatory status and availability.** The Operator does not hold and is not required to hold financial-regulator licences, since it provides only a software tool. The Service is **not intended** for persons in jurisdictions where its use requires a licence the Operator does not hold, or where it is prohibited (including the USA and other jurisdictions at our discretion), nor for persons under sanctions (see the [AML & Sanctions Policy](/spread-hunter-docs/english/aml-sanctions.md)). By using the Service, you **represent and warrant** that your use is lawful in your jurisdiction.

2.4. Part of the Service (the spread dashboard, charts, the anomaly log) is available free of charge, including without registration. The "My Bots" and "P\&L" features are available only with an active Subscription.

## 3. Account and access

3.1. The paid features require registration. You undertake to provide accurate data and to keep it up to date.

3.2. **One User registers one account.** Creating multiple accounts by a single person is prohibited and may lead to suspension of access and the cancellation of referral accruals (section 9).

3.3. The Service is intended **only for persons aged 18 and over** who are entitled to carry out transactions with crypto-assets in their jurisdiction.

3.4. You are responsible for safeguarding your credentials (password, 2FA, access to email) and for all actions under your account. Notify us immediately at <spreadhunterapp@gmail.com> in the event of unauthorized access.

## 4. No financial advice

4.1. No part of the Service — data on spreads, funding, charts, signals, default settings, examples, statistics, or any materials — **is or should be construed as investment, financial, legal, or tax advice**, a recommendation, or an inducement to enter into any transaction.

4.2. **Default settings** (entry thresholds, leverage, position size, stop-losses, etc.) are provided solely as a technical starting point, **are not parameters recommended specifically for you**, and do not guarantee safety or profitability. You are obliged to review and change them in line with your own situation before use.

4.3. You make all trading decisions **yourself, at your own risk**, and bear full responsibility for them.

## 5. API keys and the non-custodial model

5.1. To operate the Bot, you add your own API keys from your exchange accounts. **Funds always remain on your accounts on the exchanges** — the Service does not gain access to them and cannot withdraw them.

5.2. **You are obliged** to create API keys **with trading permissions only** (trade-only) **without withdrawal rights**. The Service **may (but is not obliged to)** detect and warn about excessive key permissions; the absence of a warning does not relieve you of responsibility for configuring the permissions.

5.3. API keys are stored in encrypted form. Despite the security measures applied, **no transmission or storage of data is absolutely secure**; you accept this residual risk and may revoke a key at any time on the exchange's side.

5.4. You are responsible for complying with the exchanges' terms of use regarding automated (bot) trading. **Some exchanges restrict or prohibit third-party trading bots.** The list of supported exchanges may change; the Operator does not guarantee that use of the Bot is compatible with the current rules of each exchange — check your exchange's terms yourself.

## 6. Risks (in brief; in full — in the Risk Disclosure)

6.1. Trading cryptocurrencies and their derivatives involves **high risk**, including the possibility of **losing all funds involved, and in margin trading — even more**.

6.2. **Past results do not guarantee future results.** Any numerical figures, spread statistics, or examples on the site are illustrative and are not a promise of any outcome. The Operator does not guarantee profitability or the continuous or error-free operation of the Bot.

6.3. The execution of trades depends on third parties (exchanges, networks, RPC nodes) and may be subject to slippage, partial/non-execution of orders, delays, liquidations, and the impact of funding. The Service is provided **"as is"**.

6.4. Reading the full [Risk Disclosure](/spread-hunter-docs/english/risk.md) is a condition of using the Bot. **In the event of a conflict between this brief summary and the Risk Disclosure, this Agreement prevails.**

## 7. The User's obligations and responsibility

You undertake to:

* be solely responsible for all your trades and their financial result;
* declare and pay yourself all **taxes** that arise (in particular, on referral rewards — see section 9);
* comply with the legislation of your jurisdiction regarding crypto-assets;
* not use the Service for unlawful purposes, for money laundering, or to circumvent sanctions (see the [AML & Sanctions Policy](/spread-hunter-docs/english/aml-sanctions.md));
* not be a person under sanctions and not be located in a prohibited jurisdiction.

## 8. Subscription, prices, and payment

8.1. Access to the paid features is provided on the terms of the Subscription. The current price and plans are displayed on the subscription page and may change; **a change in price does not affect a period already paid for** and applies only to subsequent payments.

8.2. Payment is made in the cryptocurrency **USDT on the BEP20 network (BNB Smart Chain)** to the address generated by the invoice, in the **exact amount**. The Subscription is activated automatically after confirmation of the transfer on the blockchain (usually 1–2 minutes); this very moment is deemed the **start of the provision of the service**.

8.3. A payment with an incorrect amount, in a different network/asset, or to a wrong address may not be credited automatically — the details and consequences are set out in the [Refund Policy](/spread-hunter-docs/english/refunds.md).

8.4. After the expiry of the Subscription, a **Grace period (24 hours)** in view mode applies, after which the open positions of your Bots may be **automatically closed at market prices**, and the paid features disabled. Automatic closing may occur at an **unfavorable price**; the Operator is not liable for the financial result of such closing. You can avoid it by closing positions in advance or renewing the Subscription.

## 9. Referral program

9.1. The Service may offer a two-tier referral reward (by default 20% from the first tier and 5% from the second) **solely for actually paid** subscriptions of real users. The reward **is not** income, a security, an investment, or a guaranteed payout, but is a **bonus/discount for a recommendation**; it is not accrued for the mere recruitment of persons. The rates may change.

9.2. The reward is accrued after the actual payment by the invited user and may be subject to a holding period (hold) before it becomes available.

9.3. The available reward may be **credited to your own Subscription** or, where provided for, received as a payout to the BEP20 address you specify, subject to reaching a minimum amount (by default 50 USDT); payouts are processed **manually**. For a payout exceeding the established threshold, the Operator may require verification of identity and source (AML).

9.4. The referral reward is **your taxable income**; you declare and pay the relevant taxes yourself. The Operator is not a tax agent.

9.5. We reserve the right to **cancel, withhold, or annul** referral accruals, and to **change or fully terminate** the referral program at any time, in the event of fraud, self-referral, fictitious, disputed, or cancelled payments, abuse, or breach of this Agreement. It is prohibited to advertise the program as "earnings" or an "investment".

## 10. Acceptable use

It is prohibited to: (a) circumvent technical restrictions, hack, or create excessive load on the Service; (b) automatically collect data (scraping) beyond the provided interfaces; (c) resell or grant access to third parties without our consent; (d) use the Service unlawfully or contrary to sanctions/AML legislation; (e) impersonate another person or misrepresent referral relationships.

## 11. Intellectual property

11.1. The Service, its code, design, texts, trademarks, and the **Spread Hunter** brand are the property of the Operator (or are used on lawful grounds) and are protected by law.

11.2. For the duration of access, you are granted a **limited, non-exclusive, non-transferable, revocable licence** to use the Service solely for its intended purpose. No other rights are transferred.

## 12. Disclaimer of warranties

12.1. The Service is provided **"AS IS" and "AS AVAILABLE"**, without any warranties, express or implied, including warranties of fitness for a particular purpose, uninterrupted operation, data accuracy, freedom from errors, or profitability. You use the Service **at your own risk**.

12.2. We do not warrant that data on spreads, prices, or funding will be accurate or timely, as it depends on third-party sources.

12.3. The Service is in active development; certain features may be experimental, change, or be unavailable without notice.

12.4. **Reservation.** Nothing in this Agreement excludes or limits liability to the extent that it cannot be excluded under applicable law (in particular, willful misconduct, gross negligence, harm to life/health, mandatory consumer rights). If you are a consumer, your mandatory statutory rights remain unaffected.

## 13. Limitation of liability

13.1. To the maximum extent permitted by law, the Operator and the project owners **are not liable** for any trading losses, lost profit, loss of funds, or indirect, incidental, punitive, or consequential damages arising from the use (or inability to use) the Service, the acts/omissions of exchanges, network failures, API errors, the automatic closing of positions, or market events. You enter into trades on the exchanges; the Operator is not a party to them.

13.2. In any event, the Operator's aggregate liability to you is limited to **the greater of: (i) the amount actually paid by you for the Subscription in the 6 months prior to the event, or (ii) EUR 100 (equivalent)**. In the absence of payments, subparagraph (ii) applies.

13.3. This limitation may not reduce your rights under mandatory legislation (in particular on data protection and consumer rights) and applies subject to section 12.4.

13.4. **Indemnity.** You undertake to indemnify and hold harmless the Operator and the project owners from third-party claims arising from your **willful or grossly negligent** breach of this Agreement or the law.

## 14. Suspension and termination

14.1. We may **suspend or block** your access (in whole or in part) in the event of a breach of the Agreement, suspicion of fraud/abuse/sanctions risk, a legal requirement, or for technical reasons. For material breaches, no refund is made.

14.2. **Appeal.** You may appeal a block or the cancellation of referral accruals by writing to <spreadhunterapp@gmail.com>; we will review the request within a reasonable time.

14.3. You may stop using the Service at any time by stopping the Bots and not renewing the Subscription. Certain data may be retained in accordance with the [Privacy Policy](/spread-hunter-docs/english/privacy.md).

## 15. Force majeure

The Operator is not liable for non-performance or delay due to events beyond its reasonable control: failures or shutdowns of exchanges, networks, RPC nodes, or the blockchain; actions of regulators; cyberattacks (DDoS); power or internet outages; natural disasters; acts of war. During such events, the operation of the Bot may be impossible.

## 16. Changes to the Agreement and notices

16.1. We may change this Agreement. The current version is always available at this address, with the version number and date indicated; a version history is maintained.

16.2. For **material changes**, we **require re-acceptance** of the Agreement for continued use of the paid features. We notify you of material changes by email and/or by a notice within the Service.

## 17. Governing law and dispute resolution

17.1. This Agreement is governed by the laws of Ukraine. Disputes not resolved through negotiations are subject to consideration by the competent courts of Ukraine.

17.2. **Consumers.** If you are a consumer, you retain the right to protection under mandatory rules and to have a dispute heard at your place of residence, where this is provided for by the law of your country. The parties shall make efforts toward out-of-court settlement through <spreadhunterapp@gmail.com>.

## 18. Miscellaneous

18.1. If a particular provision of the Agreement is found to be invalid, the rest remain in force.

18.2. **Assignment of rights.** The Operator may assign its rights and obligations under this Agreement (in particular on the sale or reorganization of the project); you may do so only with our written consent.

18.3. **Language.** The Ukrainian version of the documents is the base version. Where translations exist, in the event of discrepancies the Ukrainian version prevails, unless otherwise required by law.

18.4. This Agreement, together with the Privacy Policy, the Risk Disclosure, the Refund Policy, and the AML & Sanctions Policy, constitutes the entire agreement regarding the Service.
